By accessing or using our services, you agree to be bound by these Terms, our Privacy Policy, and all other policies and agreements referenced herein or on our website (info@trade-assistance.biz).

  1. Introduction to Trade Assistance Services

    Trade Assistance LLC, located at 7901 4th St N, St. Petersburg, FL 33702, USA, provides secure escrow services for online transactions involving a variety of goods and digital assets, including but not limited to software, digital assets, pre-owned vehicles, and gadgets. Our service acts as a neutral third party, holding funds securely until both the buyer and seller fulfill their agreed-upon obligations, thereby mitigating the risks of fraud and non-delivery inherent in online commerce.

  2. Eligibility

    To use Trade Assistance services, you must be at least 18 years old and capable of forming a legally binding contract. By using our services, you represent and warrant that you meet these eligibility requirements. Our services are available to individuals and legal entities.

  3. How Trade Assistance Works

    3.1. General Process:

    • Agreement: The Buyer and Seller agree on the terms of the transaction, including the price, description of the item/service, inspection period (if applicable), and any other relevant conditions.
    • Escrow Setup: The Buyer and Seller agree to use Trade Assistance as their escrow agent. The transaction details are entered into our system, and an escrow agreement is generated, outlining the specific terms agreed upon.
    • Buyer Funds Deposit: The Buyer deposits the agreed-upon funds into a secure Trade Assistance escrow account. Funds will be verified by Trade Assistance.
    • Seller Delivery: Upon verification of funds, the Seller is notified to deliver the item or provide the service as per the agreement. For physical goods, this includes providing comprehensive tracking information, where applicable. For digital assets or software, this may involve providing access, licenses, or transferring ownership.
    • Buyer Inspection/Acceptance: The Buyer inspects the received item or verifies the service within the agreed-upon inspection period.
    • Fund Release:
      • If Buyer Accepts: If the Buyer is satisfied, they authorize the release of funds to the Seller. Trade Assistance swiftly releases the funds to the Seller's designated account.
      • If Buyer Rejects: If the Buyer rejects the item/service due to non-conformity with the agreed terms, a dispute resolution process is initiated (see Section 7).
    • Transaction Completion: Once funds are released or returned, the transaction is considered complete, and the escrow account is closed.

    3.2. Specific Considerations by Item Type:

    • Software & Digital Assets:
      • Delivery: Delivery may involve providing access credentials, license keys, download links, or transferring intellectual property rights.
      • Inspection: The inspection period for software or digital assets typically involves verifying functionality, accessing files, or confirming ownership transfer.
      • Source Code Escrow (for Software): For certain software transactions, Trade Assistance may facilitate source code escrow, where the software's source code is held by us and released to the Buyer only under pre-defined conditions (e.g., seller insolvency, failure to provide support). This ensures business continuity for the Buyer.
    • Pre-Owned Vehicles:
      • Delivery: The Seller delivers the vehicle and all relevant documents (e.g., title, registration) to the Buyer.
      • Inspection: The Buyer is granted a specified inspection period to thoroughly examine the vehicle, which may include a mechanical inspection.
      • Title Transfer: Trade Assistance may assist in verifying proper title transfer before funds are released, ensuring legal ownership is secured.
    • Gadgets & Other Physical Goods:
      • Delivery: Standard shipping with tracking is typically required.
      • Inspection: The Buyer inspects the gadget for condition, functionality, and adherence to the description within the agreed inspection period.
  4. Fees

    Trade Assistance charges a fee for its services, which will be clearly communicated and agreed upon by both Buyer and Seller before the transaction commences. Fees may vary based on the transaction value, complexity, and specific services required. Unless otherwise agreed, the fee may be split between the Buyer and Seller, or one party may bear the entire cost. All fees are non-refundable once the transaction is completed and funds are released.

  5. Your Responsibilities

    5.1. For Buyers:

    • Provide accurate and complete payment information.
    • Deposit funds into the Trade Assistance escrow account within the specified timeframe.
    • Thoroughly inspect the item/service within the agreed inspection period.
    • Communicate promptly with Trade Assistance regarding acceptance or rejection.
    • Comply with all applicable laws and regulations related to your purchase.

    5.2. For Sellers:

    • Provide accurate and complete descriptions of the item/service.
    • Deliver the item/service as described and within the agreed timeframe.
    • Provide comprehensive tracking information for physical goods.
    • Cooperate with Trade Assistance in the verification and inspection process.
    • Comply with all applicable laws and regulations related to your sale.
  6. Security and Data Protection

    Trade Assistance employs industry-standard security measures to protect your funds and personal information. We utilize secure servers, encryption, and other technological safeguards. However, no online system is entirely foolproof, and we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

    We collect, use, and store your personal data in accordance with our Privacy Policy. By using our services, you consent to such collection, use, and storage.

  7. Dispute Resolution

    In the event of a dispute between the Buyer and Seller, Trade Assistance will act as a neutral mediator. Our dispute resolution process is as follows:

    • Notification of Dispute: If the Buyer rejects the item/service, they must notify Trade Assistance within the inspection period, providing a detailed reason for rejection and supporting evidence.
    • Mediation: Trade Assistance will attempt to facilitate a resolution between the Buyer and Seller based on the terms of the escrow agreement and any provided evidence.
    • Evidence Submission: Both parties may be required to submit additional evidence (e.g., photos, videos, communication logs, professional inspection reports) to support their claims.
    • Decision (if necessary): If mediation fails, Trade Assistance, at its sole discretion, may make a final binding decision based on the evidence and the terms of the escrow agreement. This decision will determine whether funds are released to the Seller, returned to the Buyer, or partially disbursed.
    • Exclusions: Trade Assistance is not responsible for the quality, legality, or safety of items/services transacted through our platform, nor for the truth or accuracy of listings. Our role is strictly limited to facilitating the secure transfer of funds based on the agreed terms.
  8. Limitation of Liability

    To the fullest extent permitted by law, Trade Assistance LLC, its affiliates, officers, directors, employees, agents, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of our services, even if Trade Assistance has been advised of the possibility of such damages.

    Our total aggregate liability for any claims arising out of or related to these Terms or your use of our services shall not exceed the amount of fees paid by you to Trade Assistance for the specific transaction giving rise to the claim.

  9. Indemnification

    You agree to indemnify, defend, and hold harmless Trade Assistance LLC, its affiliates, officers, directors, employees, agents, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

    • Your access to or use of our services.
    • Your breach of these Terms.
    • Your violation of any applicable law or the rights of a third party.
    • Any dispute between you and another user of our services.
  10. Termination

    Trade Assistance reserves the right to suspend or terminate your access to our services, in whole or in part, at our sole discretion, without notice and for any reason, including but not limited to:

    • Breach of these Terms.
    • Engaging in fraudulent or illegal activities.
    • Actions that may harm Trade Assistance or other users.

    Upon termination, any ongoing transactions will be handled in accordance with the escrow agreement in place at the time of termination.

  11. Governing Law and Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or your use of our services shall be exclusively brought in the state or federal courts located in St. Petersburg, Florida, USA. You hereby consent to the personal jurisdiction of such courts.

  12. Amendments to Terms

    Trade Assistance reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such modifications constitutes your acceptance of the revised Terms.

  13. Severability

    If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

  14. Entire Agreement

    These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Trade Assistance LLC regarding your use of our services.
