This Developer Policy ("Policy") outlines the terms and conditions that govern the access and use of any Trade Assistance LLC ("Trade Assistance," "we," "us," or "our") application programming interfaces ("APIs"), software development kits ("SDKs"), documentation, tools, data, and services (collectively, the "Developer Resources") by third-party developers, businesses, and individuals ("Developer," "you," or "your").
Trade Assistance LLC is committed to redefining security for online transactions, providing a secure escrow service for a wide range of goods, including innovative software, unique digital assets, pre-owned vehicles, and the latest gadgets. This Policy ensures that all integrations and uses of our Developer Resources align with our mission to protect both buyers and sellers and maintain the integrity and security of our platform.
By accessing, using, or integrating with any Trade Assistance Developer Resources, you agree to be bound by this Policy, our Terms of Service, and our Privacy Policy, all of which are incorporated by reference. If you do not agree to these terms, you may not access or use the Developer Resources.
2. Definitions
API(s): Application Programming Interface(s) provided by Trade Assistance for programmatic interaction with its services.
Application(s): Any software application, website, product, or service developed by you that integrates with or utilizes Trade Assistance Developer Resources.
Buyer: An individual or entity acquiring an item or service through a transaction facilitated by Trade Assistance.
Developer Resources: Collectively refers to Trade Assistance's APIs, SDKs, documentation, tools, data, and services made available to Developers.
Intellectual Property Rights: All current and future worldwide rights under patent law, copyright law, trade secret law, trademark law, moral rights law, and other similar rights.
Platform: The Trade Assistance website, mobile applications, and underlying infrastructure that provide escrow services.
Seller: An individual or entity selling an item or service through a transaction facilitated by Trade Assistance.
Transaction Data: Any information related to a transaction facilitated by Trade Assistance, including but not limited to buyer and seller details (excluding sensitive personal data not necessary for the transaction), item descriptions, transaction status, and payment information.
User Data: Any information relating to identified or identifiable natural persons that is processed by your Application in connection with the Developer Resources, including but not limited to personal information, financial information, and transaction history.
3. Developer Responsibilities
As a Developer utilizing Trade Assistance Developer Resources, you agree to:
- Accurate Representation: Accurately represent yourself, your company, and your Application. Do not mislead users about the functionality or origin of your Application.
- Security: Implement and maintain robust security measures to protect User Data and Transaction Data. This includes, but is not limited to, using strong encryption for all data in transit and at rest, protecting API keys and credentials, and regularly auditing your systems for vulnerabilities.
- Privacy: Adhere strictly to our Privacy Policy and all applicable data protection and privacy laws (e.g., GDPR, CCPA). You must clearly and accurately disclose to your users how their data is collected, used, stored, and shared in connection with your Application and Trade Assistance services. Obtain all necessary consents from users before collecting or processing their data.
- User Experience: Design and develop Applications that provide a clear, intuitive, and high-quality user experience. Ensure that the integration with Trade Assistance services is seamless and transparent to the user.
- Compliance: Ensure your Application and your use of Developer Resources comply with all applicable local, national, and international laws, regulations, and industry standards. This includes, but is not limited to, laws related to consumer protection, e-commerce, financial services, data privacy, and intellectual property.
- No Circumvention: Not attempt to circumvent or undermine the security, integrity, or functionality of the Trade Assistance Platform or its escrow processes.
- No Reverse Engineering: Not reverse engineer, decompile, or disassemble any part of the Developer Resources or the Trade Assistance Platform, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
- Responsible Use: Use the Developer Resources in a manner that is fair, ethical, and does not impose an unreasonable load on Trade Assistance’s infrastructure.
4. API Usage Guidelines
If Trade Assistance provides APIs for integration, the following guidelines apply:
- API Key Management: Treat your API keys and credentials as confidential. You are solely responsible for all activities that occur under your API keys. Immediately notify Trade Assistance of any unauthorized use or security breaches related to your API keys.
- Rate Limits: Adhere to any specified API rate limits to ensure fair usage and maintain platform stability. Excessive requests or abuse may result in temporary or permanent suspension of your API access.
- Proper Use Cases: Only use the APIs for the specific purposes for which they are intended and as described in the Trade Assistance documentation. Any unauthorized or unintended use is strictly prohibited.
- Error Handling: Implement robust error handling mechanisms in your Application to gracefully manage API errors and ensure a smooth user experience.
- Up-to-Date Integration: Keep your Application's integration with Trade Assistance APIs up-to-date. Trade Assistance may update its APIs, and you are responsible for adapting your Application to any changes.
5. Data Security and Privacy
You acknowledge and agree to the following regarding data handling:
- Data Minimization: Only collect and process User Data that is strictly necessary for the functionality of your Application and its integration with Trade Assistance.
- Confidentiality: Maintain the confidentiality of all User Data and Transaction Data accessed through the Developer Resources. Do not disclose this data to any third party without explicit user consent and in compliance with all applicable laws.
- Data Retention: Retain User Data and Transaction Data only for as long as necessary to fulfill the purpose for which it was collected or as required by law. Securely delete data when it is no longer needed.
- Reporting Security Incidents: Immediately notify Trade Assistance of any actual or suspected security breaches, unauthorized access, or misuse of User Data or Transaction Data.
6. Intellectual Property
- Trade Assistance IP: All Intellectual Property Rights in and to the Developer Resources, the Trade Assistance Platform, trademarks, logos, and any content provided by Trade Assistance belong exclusively to Trade Assistance LLC. This Policy grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Developer Resources solely to develop and operate your Application in accordance with this Policy.
- Your IP: You retain all Intellectual Property Rights in and to your Application, excluding any Trade Assistance Developer Resources or content.
- No Implied Licenses: No rights or licenses are granted by implication or otherwise under this Policy, except for the express licenses granted herein.
7. Compliance with Laws
You represent and warrant that your Application, its content, and your use of the Developer Resources will at all times comply with all applicable federal, state, and local laws, rules, and regulations, including but not limited to:
- Consumer protection laws.
- Laws related to advertising and marketing.
- Data privacy and security laws.
- Anti-money laundering (AML) and know-your-customer (KYC) regulations (if applicable to your specific integration).
- Laws governing the sale and transfer of goods and digital assets.
8. Prohibited Activities
You are strictly prohibited from engaging in the following activities:
- Illegal Activities: Using the Developer Resources for any illegal or fraudulent purpose.
- Malicious Conduct: Introducing any viruses, worms, Trojan horses, or other malicious code or components.
- Spamming: Sending unsolicited communications to users or misusing Trade Assistance's communication channels.
- Deceptive Practices: Engaging in any deceptive, misleading, or unethical practices.
- Harmful Content: Displaying or promoting content that is obscene, defamatory, harassing, discriminatory, or otherwise harmful.
- Competitive Services: Using the Developer Resources to create or offer a service that is directly competitive with Trade Assistance's core escrow services without explicit written permission.
- Misappropriation: Misappropriating or infringing upon the Intellectual Property Rights of Trade Assistance or any third party.
- Unauthorized Access: Attempting to gain unauthorized access to any part of the Trade Assistance Platform or its systems.
9. Modifications and Termination
- Policy Updates: Trade Assistance reserves the right to modify this Policy at any time by posting the revised Policy on our website. Your continued use of the Developer Resources after the effective date of any such modifications constitutes your acceptance of the revised Policy.
- Termination: Trade Assistance may, in its sole discretion, suspend or terminate your access to the Developer Resources at any time, with or without notice, for any reason, including but not limited to, a breach of this Policy, our Terms of Service, or any applicable law. Upon termination, you must immediately cease all use of the Developer Resources and delete all Transaction Data and User Data obtained through them.
10. Disclaimer of Warranties
THE DEVELOPER RESOURCES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE DEVELOPER RESOURCES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TRADE ASSISTANCE LLC DISCLAIMS ALL SUCH WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRADE ASSISTANCE LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE DEVELOPER RESOURCES, EVEN IF TRADE ASSISTANCE LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL TRADE ASSISTANCE LLC'S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS POLICY EXCEED THE AMOUNT PAID BY YOU TO TRADE ASSISTANCE LLC FOR THE USE OF THE DEVELOPER RESOURCES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Trade Assistance LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to: (a) your access to or use of the Developer Resources; (b) your Application; (c) your breach of this Policy; (d) your violation of any law or the rights of any third party; or (e) any content or data you submit, post, transmit, or make available through the Developer Resources.
13. Governing Law and Dispute Resolution
This Policy shall be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law principles. Any dispute arising out of or relating to this Policy shall be resolved exclusively in the state or federal courts located in St. Petersburg, Florida, USA.
14. Miscellaneous
Entire Agreement: This Policy, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Trade Assistance LLC regarding your use of the Developer Resources.
Severability: If any provision of this Policy is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: No waiver of any term of this Policy shall be deemed a further or continuing waiver of such term or any other term.
Assignment: You may not assign or transfer any of your rights or obligations under this Policy without the prior written consent of Trade Assistance LLC. Trade Assistance LLC may assign its rights and obligations under this Policy without restriction.
